What is a deed of incorporation?

A deed of incorporation is the notarial deed with which a legal entity is established. A private limited company (B.V.), public limited company (N.V.), foundation or association is established by notarial deed and executed before the notary. Without a deed of incorporation the legal entity does not exist in law. The deed contains, among other things, the articles of association of the company. When expanding abroad or establishing a foreign company in the Netherlands, financial institutions, banks and foreign authorities regularly ask for a sworn translation of this deed.

Why a sworn translation?

A sworn translation is produced by a translator registered in the Dutch Register of Sworn Interpreters and Translators (Rbtv). The translator provides the translation with a stamp, signature and statement, which makes the translation legally valid and officially accepted by authorities. For legal documents such as a deed of incorporation this is usually mandatory. Is your translation used abroad? Then an apostille needed.
